BackgroundCore Concept

Background

The Micro, Small and Medium Enterprises Development (MSMED) Act, 2006 is the foundational statute governing the definition, registration, promotion, and protection of MSMEs in India. It established the Micro and Small Enterprises Facilitation Councils (MSEFCs) as quasi-judicial bodies to adjudicate delayed payment disputes — a chronic structural problem where large buyers delay payments to smaller suppliers, squeezing their working capital. The Act also introduced the 45-day payment rule, requiring buyers to pay MSE suppliers within 45 days of acceptance of goods or services, failing which compound interest becomes payable.

Over the two decades since its enactment, the MSME ecosystem underwent transformative change. The Udyam Registration Portal digitised enterprise registration through a free, paperless, self-declaration-based process. The TReDS (Trade Receivables Discounting System) platform emerged as an institutional mechanism for invoice financing, operating under Reserve Bank of India guidelines. The twin-criteria classification — based on both investment in plant/machinery and annual turnover — replaced the earlier single-criterion approach. However, these developments were largely administrative or regulatory in nature; the parent statute had not been comprehensively amended to reflect them, creating a gap between the legal framework and operational reality. The MSMED Amendment Bill, 2026, passed by Parliament in August 2026, closes this gap.

The sector's scale makes this reform consequential. According to the Economic Survey 2025-26, MSMEs account for 31.1% of GDP, 35.4% of manufacturing output, and 48.58% of exports. As of August 2026, 9.16 crore MSMEs are registered on the Udyam platform, employing more than 40 crore people — making this the largest employment-generating sector outside agriculture.

The Topic Explained

The amendment rests on several substantive pillars. First, it codifies the twin-criteria MSME classification (investment in plant/machinery and annual turnover) directly into the statute, giving it legislative permanence rather than leaving it to executive notification. The current thresholds — Micro: ≤₹1 crore investment, ≤₹5 crore turnover; Small: ≤₹10 crore, ≤₹50 crore; Medium: ≤₹50 crore, ≤₹250 crore — are now anchored in law. It also formally recognises the Udyam Registration Portal in statute, and complements it with the Udyam Assist Platform, which extends formal recognition to informal micro enterprises — those without GST registration or income tax coverage — using data verified by authorised partners.

Second, the amendment significantly strengthens the delayed payment resolution architecture. It introduces a time-bound dispute resolution framework: mediation within 90 days, arbitration referral within 30 days of mediation failure, and an arbitral award within 90 days. …
