BackgroundCore Concept

Background

The Employees' Provident Fund and Miscellaneous Provisions Act, 1952 is the foundational law for retirement savings in India's organised sector. It mandates that establishments with 20 or more employees contribute to the Employees' Provident Fund Organisation (EPFO), a statutory body under the Ministry of Labour and Employment. However, Section 17 of the EPF & MP Act, 1952 allows the government to grant 'exemption' to an establishment. An exempted establishment can manage its own Provident Fund through a private employer-managed trust, called an Exempted PF Trust, provided it offers benefits equal to or better than the statutory EPFO scheme. Large employers in banking, insurance, and manufacturing have historically used this route for greater investment flexibility.

A long-standing regulatory gap complicated this framework. The Income Tax Act, 1961 separately provides 'recognition' to PF trusts, giving tax benefits on contributions and interest. Some trusts obtained Income Tax recognition without securing the mandatory exemption order under Section 17 of the EPF Act. These trusts operated in a legally ambiguous position: recognised for tax purposes but not formally exempted under labour law. The Code on Social Security, 2020 consolidates 29 central labour laws, including the EPF Act, and extends social security to gig and platform workers. Resolving legacy compliance gaps became more urgent under this new framework.

The Topic Explained

An Exempted PF Trust is a private employer-managed fund that substitutes for EPFO coverage. To obtain exemption, an establishment must apply under Section 17 of the EPF & MP Act, 1952 (or Section 143 of the Code on Social Security, 2020, which is the successor provision). The trust must meet conditions including a minimum employee headcount, a minimum corpus size, and a three-year compliance record. EPFO retains inspection rights and regulates the investment pattern of these trusts even after exemption is granted.

The dual regulatory framework created a structural problem. Track one is the labour law track: exemption under Section 17 of the EPF Act or Section 143 of the Code on Social Security, 2020. Track two is the tax law track: recognition under the Income Tax Act, 1961. …
