"Government Approves Sale of IDBI Bank to Strategic Buyer"
Prompt Corrective Action (PCA) Framework
RBI mechanism restricting banks with weak capital, asset quality or profitability
Strategic disinvestment
sale of majority government stake in a public enterprise to a private buyer
IDBI Bank Ltd is a scheduled commercial bank. The Reserve Bank of India (RBI) regulates it. The bank had weak asset quality and losses. It needed repeated capital infusions from the Government of India (GoI) and later from the Life Insurance Corporation of India (LIC). In 2017, the RBI placed IDBI Bank under the Prompt Corrective Action (PCA) Framework. A PCA Framework is a set of RBI restrictions on lending and expansion placed on banks with weak capital or high bad loans. The restrictions were lifted in 2021 once the bank's financial health improved. Some conditions and monitoring continued after that.
Many public sector banks (PSBs) faced the same problem in the past decade. The government had to keep injecting equity to keep weak banks solvent. India has handled such weak banks through two different routes. One route is merger and consolidation. For example, associate banks merged into the State Bank of India. This reduces the number of weak entities by folding them into a stronger one. The other route, used here for IDBI Bank, is strategic sale to a private buyer. The government and LIC together give up majority ownership instead of merging the bank with another public institution.
The decision to sell IDBI Bank followed from the broader bank privatisation policy. The government wanted to reduce its own equity burden in weak public financial institutions. It also wanted to attract private capital and management. The Cabinet Committee on Economic Affairs (CCEA) approved the strategic restructuring. Under this plan, 60.72% of the bank's equity was to be sold to a strategic buyer. This stake was split between the GoI and LIC.
Associate banks were merged into the State Bank of India as a consolidation measure. This addressed the problem of weak public sector banks. Government capital infusion into public sector banks has not steadily increased. Instead, the government has pursued strategic sales and privatisation. This reduces its equity burden in weak institutions.
The sale was carried out through a two-stage, competitive bidding process. A multi-layered decision structure supported it. The Inter-Ministerial Group (IMG), the Core Group of Secretaries on Disinvestment (CGD), and the Alternative Mechanism were involved. The Alternative Mechanism is a group of Cabinet Ministers empowered to decide on such transactions. A Preliminary Information Memorandum (PIM) was issued. It invited Expression of Interest (EoI). Only parties cleared as 'Fit and Proper' by the RBI could bid. The Ministry of Home Affairs had to security-clear them as well. Five initial applicants applied. Four qualified. Two eventually submitted techno-financial bids as Qualified Bidders. …
